Terms & Conditions of Service for Zunagu.

  Welcome to Zunagu! 
  These Terms & Conditions ("Terms") govern your access to and use of the Zunagu application and any related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.
  The Service is owned and operated by Adapt Technology Corporation, located in the United Kingdom.
  1. Acceptance of Terms
  1.1. By creating an account, accessing, or using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.
  1.2. If you are accessing or using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
  2. Nature of the Service
  2.1. Zunagu provides a platform that facilitates connections between users seeking to share expertise or engage in conversations with other users, including those who claim to be public figures or celebrities, through scheduled video calls.
  2.2. Our Service acts solely as an intermediary to connect users. We do not employ, endorse, or guarantee the quality, expertise, or authenticity of any user.
  2.3. We do not guarantee that any user will secure bookings or that any requested booking will be accepted.
  3. User Accounts & Registration
  3.1. To use the Service, you must register for an account and provide accurate and complete information. You agree to keep your account information updated.
  3.2. You are solely responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
  3.3. We reserve the right to suspend or terminate your account at any time, for any reason, in our sole discretion, including for breaches of these Terms.
  4. Prohibited Conduct & Content
  You explicitly agree that you WILL NOT use the Service for any of the following activities:
  4.1. Illegal or Illicit Activities: Engaging in, promoting, or facilitating any activity that is illegal, unlawful, or in violation of any applicable local, national, or international law or regulation. This includes, but is not limited to, activities related to drug use, drug trafficking, or the sale of illegal substances.
  4.2. Pornographic or Sexually Explicit Content: Creating, sharing, requesting, or participating in any sexually explicit, pornographic, obscene, or indecent content or interactions. This includes nudity, sexual acts, or any content primarily designed to arouse sexual gratification.
  4.3. Harmful Content & Conduct:
  * Harassment, bullying, stalking, threats, or any form of abusive behaviour towards other users.
  * Hate speech, discrimination, or promoting violence against any individual or group based on race, ethnicity, religion, gender, sexual orientation, disability, or any other characteristic.
  * Impersonation of any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity, including falsely claiming to be a celebrity or public figure.
  * Fraudulent activities, including but not limited to, misrepresentation of services, or attempting to defraud other users or the platform.
  * Distributing unsolicited commercial communications (spam), phishing, or any form of malware, viruses, or other harmful code.
  * Using automated means (bots) or other technological devices to access, interact with, or collect information from the Service without express written permission.
  4.4. Circumvention: Attempting to conduct transactions, share personal contact information, or otherwise engage in activities outside of the Service to avoid platform fees or monitoring.
  4.5. Recording: Attempting to record, or actually recording, any video calls facilitated by the Service. The Service is designed to prevent recording, and any attempt to circumvent this functionality is strictly prohibited.
  4.6. Intellectual Property Infringement: Using content that infringes upon any third party's intellectual property rights, including copyright, trademark, patent, or trade secret.
  5. Content Monitoring & Enforcement
  5.1. You acknowledge and agree that we employ both automated systems and manual review processes to monitor user conduct and content within the Service, including video calls, for compliance with these Terms.
  5.2. We reserve the absolute right, in our sole discretion, to immediately:
  * Delete your profile and terminate your access to the Service if we discover any evidence of prohibited conduct, including, but not limited to, activities related to pornography, drugs, or illegal content.
  * Delete your profile and terminate your access to the Service if your profile is flagged by other users, or if we, in our sole judgment, believe your profile is "not legit" (e.g., a bot, fake, spam, or involves misrepresentation), or if we believe your activities or content may harm other users or the integrity of the Service.
  * Take any other action deemed appropriate, including reporting to law enforcement authorities where necessary.
  5.3. You agree to cooperate fully with any investigation we conduct regarding suspected violations of these Terms.
  6. Payments & Cancellations (via Stripe)
  6.1. All payments for bookings are processed through our third-party payment provider, Stripe. By using the payment features of the Service, you agree to be bound by Stripe's Terms of Service.
  6.2. You acknowledge and agree that we are not responsible for any issues arising directly from Stripe's services, though we will assist where possible in resolving payment disputes related to Service bookings.
  6.3. Service Fees: Zunagu takes 10% of the booking cost paid to a user to cover the running of the application, moderation for safety reasons, and continuous improvement of our services.
  6.4. No Cancellations Once Agreed: Once a booking has been accepted by the Requested User, users are generally unable to cancel the booking.
  6.5. No-Show by Requested User:
  * If the Requested User fails to attend the scheduled video call, the Requester must flag this issue within the Service during the scheduled meeting time.
  * We will review our logs and technical data to verify whether both parties joined the call.
  * If our review confirms the Requested User did not attend, the Requester will be eligible for a full refund.
  6.6. No-Show by Requester:
  * If the Requester fails to attend the scheduled video call, the Requested User will still be paid for the booking, as they have allocated their time for the interaction. No refund will be issued to the Requester in this scenario.
  6.7. Dispute Resolution: Any payment disputes not covered by the above specific no-show policies will be reviewed on a case-by-case basis by our support team, whose decision will be final.
  7. Intellectual Property
  7.1. All rights, title, and interest in and to the Service (excluding User Content) are and will remain the exclusive property of Zunagu and its licensors.
  7.2. You retain ownership of any content you create and upload to the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Service.
  8. Disclaimers
  8.1. "AS IS" Basis: The Service is provided "AS IS" and "AS AVAILABLE," without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
  8.2. No Endorsement or Verification: We do not endorse, guarantee, or make any representations regarding the accuracy, completeness, or reliability of any user-generated content, including the claims of expertise or celebrity status made by Requested Users. You engage with other users at your own risk.
  8.3. Service Availability: We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.
  8.4. No Legal, Medical, or Financial Advice: Any information exchanged during video calls on the Service is for informational and entertainment purposes only and should not be considered professional advice of any kind. You should always consult with a qualified professional for specific advice.
  9. Limitation of Liability
  9.1. To the maximum extent permitted by law, in no event shall Adapt Technology Corporation, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.
  9.2. Our total liability to you for any and all claims arising out of or relating to these Terms or your use of the Service, regardless of the form of action, is limited to the amount you have paid to us for the Service in the twelve (12) months preceding the claim.
  10. Indemnification
  10.1. You agree to defend, indemnify, and hold harmless Adapt Technology Corporation and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any intellectual property or other right of any third party.
  11. Termination
  11.1. We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
  11.2. Upon termination, your right to use the Service will immediately cease.
  11.3. If you wish to terminate your account, you may do so via the application or by contacting us at hello@Zunagu.com with the subject 'Delete My Account', this e-mail must be sent from the e-mail from which you signed up to the service.
  12. Governing Law & Dispute Resolution
  12.1. These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
  12.2. Any dispute, controversy, or claim arising out of or in connection with these Terms, or the breach, termination, or invalidity thereof, shall be subject to the exclusive jurisdiction of the courts of England and Wales.
  13. Changes to Terms
  13.1. We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
  13.2. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
  14. Privacy Policy
  14.1. Your use of the Service is also governed by our Privacy Policy, which details how we collect, use, and protect your personal data.
  15. General Provisions
  15.1. Entire Agreement: These Terms, together with any amendments and any additional agreements you may enter into with us in connection with the Service, shall constitute the entire agreement between you and Adapt Technology Corporation concerning the Service.
  15.2. Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect.
  15.3. No Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
